PARADYSE Homes – Terms and Conditions

Welcome to PARADYSE Homes. These Terms and Conditions (“Terms”) govern your access to and use of the PARADYSE Homes website and digital platforms (the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

1. Basic Terms

PARADYSE Homes offers a marketplace to explore and participate in managed co-ownership of luxury vacation properties across Southeast Asia. Ownership is structured through shareholding in a local or offshore entity (typically a Special Purpose Vehicle or “SPV”) which holds leasehold or ownership rights to the property. All property-related transactions are governed by separate legal agreements which you will be required to sign.

These Services are intended for individuals who are legally eligible to form binding agreements in their respective jurisdictions. By using the Services, you represent that you are over the age of 18 and not prohibited from accessing the Services by any applicable laws.

The Services are not intended to constitute a solicitation of securities or regulated financial products in any jurisdiction where such offers are not lawful. Users from the UK, EU, USA, Australia, and other regions should seek independent legal and tax advice before proceeding.

2. Ownership Structure Disclaimer

PARADYSE Homes facilitates fractional ownership through SPVs governed by shareholding agreements. Co-ownership is not the same as timeshare and is subject to specific legal terms, including usage rights, booking policies, and resale conditions. Ownership does not automatically grant full control over the property or its operation.

3. Intellectual Property

All content, branding, trademarks, designs, text, and media on the Services are the property of PARADYSE Homes or its content providers. You may not copy, reuse, or distribute any materials without express written consent, except for personal, non-commercial use.

4. User Responsibilities

You agree not to misuse the Services. Prohibited actions include:

• Attempting unauthorized access to restricted areas of the platform.

• Copying or redistributing proprietary information.

• Providing misleading or inaccurate information to PARADYSE Homes or other users.

• Violating any applicable law or regulation in the use of the Services.

5. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify PARADYSE Homes immediately if you suspect unauthorized access.

6. Booking, Usage & Ownership Policies

Your use of any co-owned property is governed by the applicable usage and ownership agreements. These agreements define your rights regarding:

• Days of use per year based on shareholding

• Peak and off-peak booking privileges

• Rental income rights

• Maintenance and management responsibilities

You must review and sign all related agreements before any co-ownership is confirmed.

7. Disclaimer of Warranties

The Services are provided “as is” without warranties of any kind, including but not limited to fitness for a particular purpose, accuracy, or uninterrupted service. Property descriptions and imagery may vary slightly from the final product due to development status or artistic renderings.

8. Limitation of Liability

To the fullest extent permitted by law, PARADYSE Homes is not liable for:

• Property or investment performance

• Errors or omissions in the Services

• Any indirect, incidental, or consequential damages

• Disruptions, delays, or loss of data caused by third-party systems

Our total liability shall not exceed the amount you have paid (if any) to use the Services in the 6 months prior to the claim.

9. Indemnity

You agree to indemnify and hold harmless PARADYSE Homes, its affiliates, partners, and representatives against any claims, liabilities, damages, costs, and expenses arising from:

• Your breach of these Terms

• Misuse of the Services

• Violation of any laws or rights of third parties

10. Termination

PARADYSE Homes may terminate or suspend your access at any time, with or without notice, if we believe you’ve violated these Terms or any applicable laws. You may also cease using the Services at any time.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore, unless superseded by local consumer protection laws. Any disputes shall be resolved in the courts of Singapore, unless otherwise specified in any applicable purchase or ownership agreements.

12. Communications

By submitting contact forms or engaging with the Services, you consent to receive communications via email, WhatsApp, or phone, including marketing messages. You may opt out at any time, but some essential communications may still be required.

13. Modifications to Terms

PARADYSE Homes reserves the right to update or change these Terms at any time. We will notify you of material changes via email or via the website. Continued use of the Services after such updates indicates your acceptance of the revised Terms.
